Separate written terms may apply to trade, wholesale, business or other specially negotiated orders. Where separate terms have been expressly agreed, those terms will take priority to the extent of any inconsistency.

3. Consumers and Business Customers

In these Terms:

A Consumer is an individual acting for purposes wholly or mainly outside their trade, business, craft or profession.

A Business Customer is a person or organisation acting for purposes relating wholly or mainly to their trade, business, craft or profession.

Some legal rights described in these Terms, particularly statutory change of mind cancellation rights for online purchases, apply only to Consumers.

If you place an order on behalf of a business or other organisation, you confirm that you have authority to bind that business or organisation.

4. Eligibility to Use the Website and Place Orders

You must have legal capacity to enter into a binding contract with us.

If you are under 18, you should only place an order with the involvement and permission of a parent or legal guardian.

You must provide accurate, current and complete information when placing an order or creating an account.

You must not:

  • impersonate another person
  • use payment details without authority
  • provide deliberately false or misleading information
  • use our website for any unlawful or fraudulent purpose

We may take reasonable steps to protect our website, customers and business from misuse, fraud, security threats and unlawful activity.

6. Product Information

We take reasonable care to ensure that product descriptions, specifications, images, prices and other information are accurate.

However:

  • product images may be illustrative
  • colours may appear differently depending on screen settings, lighting and viewing conditions
  • minor variations in colour, finish, dimensions or appearance may occur between manufacturing batches
  • measurements may be subject to reasonable manufacturing tolerances
  • packaging may change without materially changing the product
  • product improvements may result in minor changes that do not materially reduce the product’s functionality or quality

We will not knowingly substitute a materially different product without your agreement.

Where a particular specification is important to your application, you should check the relevant product information before ordering or contact us before purchase.

Nothing in this section allows us to supply goods that are materially different from their description or otherwise fail to meet applicable legal requirements.

7. Product Advice and General Information

Our website may contain guides, articles, installation information, FAQs, technical explanations and other general information.

General information is provided to help customers understand our products and common applications. It may not account for every vehicle, electrical system, conversion, installation environment or individual requirement.

Where you ask us for advice, the quality of that advice may depend on the accuracy and completeness of the information you provide to us.

You should tell us about any relevant factors, including where applicable:

  • system voltage
  • charging voltage
  • power supply type
  • battery type
  • controller or dimmer type
  • intended product quantity
  • cable runs
  • existing wiring
  • fuse arrangements
  • installation environment
  • maximum electrical loads
  • other connected products

Unless we expressly confirm otherwise, general information provided on our website is not a substitute for inspecting a specific electrical system or installation.

Nothing in this section excludes responsibility for product descriptions, specific contractual commitments or advice that forms part of your contract under applicable law.

8. Orders and Contract Formation

When you submit an order, you are offering to purchase the products in that order.

After you place an order, you may receive an automated order acknowledgement or confirmation showing that we have received your order. Unless it expressly states otherwise, an automated acknowledgement does not necessarily mean that we have accepted your order.

Unless we tell you otherwise, our acceptance of your order takes place when we:

send you confirmation that the relevant product has been dispatched, or

otherwise expressly confirm that we have accepted the order

At that point, a contract is formed between you and us for the relevant product or products.

Where products in the same order are dispatched separately, acceptance may take place separately for each product or group of products.

Payment may be authorised or taken before we formally accept an order. If we do not accept your order after taking payment, we will refund the relevant amount.

Before we accept an order, we may decline it for legitimate reasons, including where:

  • a product is unavailable
  • we cannot deliver to the requested address
  • payment is not authorised
  • we reasonably suspect fraud or unauthorised payment activity
  • an order breaches a clearly stated quantity restriction
  • there is an obvious pricing or product information error
  • we are legally prohibited from supplying the product
  • the order appears to involve misuse of our website or purchasing systems

Where we decline an order after payment has been taken, we will refund the relevant amount.

Nothing in this section affects any right you may have to withdraw an offer or cancel a qualifying consumer order.

9. Prices

Prices are displayed in pounds sterling unless otherwise stated.

The price payable for an order will be shown before you submit the order.

Any taxes that we are required to charge will be included or clearly shown where applicable.

Delivery charges, where applicable, will be shown before you place your order.

Prices may change from time to time. A change in price will not normally affect an order that we have already accepted, except where permitted or required by law.

Promotional pricing may be available for a limited period and may be subject to separate conditions.

10. VAT, Duties and Other Charges

The tax treatment of an order may depend on:

  • the delivery destination
  • applicable tax law
  • our tax registration status
  • the nature of the transaction

Any taxes we are required to collect from you will be shown where applicable.

For deliveries to destinations where import duties, local taxes, customs charges or clearance fees may apply, you may be responsible for those amounts unless we expressly state that they are included in the price paid to us.

Customers are responsible for providing accurate information required for customs and delivery purposes.

11. Payment

We accept the payment methods shown at checkout.

You confirm that:

  • you are authorised to use the selected payment method
  • the information you provide is accurate
  • sufficient funds or credit are available where applicable

Payments may be processed by third party payment providers.

We do not guarantee that every payment method will always be available.

We may carry out reasonable fraud prevention, security or payment verification checks.

12. Pricing and Information Errors

We take reasonable care to ensure that prices and product information are accurate, but errors can occasionally occur.

If we discover an obvious pricing or information error before accepting your order, we may:

  • reject the order
  • contact you to explain the error
  • give you the option to place a new order using the correct information or price

We are not required to supply a product at an obviously incorrect price where the error should reasonably have been apparent.

If we cancel or reject an order because of an error after payment has been taken, we will refund the relevant amount.

If we discover an issue after a contract has already been formed, we will handle the matter in accordance with applicable law and will not rely on this section as an unrestricted right to cancel a binding consumer contract.

13. Product Availability and Quantity Limits

All products are subject to availability.

Stock information displayed on our website is intended to be helpful but may occasionally be affected by:

  • simultaneous orders
  • inventory discrepancies
  • damaged stock
  • fulfilment errors
  • delayed stock updates
  • technical issues

We may apply reasonable quantity limits where necessary, including to:

  • protect stock availability
  • prevent fraud
  • manage limited releases
  • restrict unauthorised resale
  • ensure fair access to products

Any material purchasing restriction should be clearly communicated where reasonably possible.

14. Backorders

Certain products that are temporarily out of stock may be offered on backorder.

Where this applies, we will aim to make the backorder status clear on the relevant product page and provide an estimated dispatch or delivery timeframe.

Unless stated otherwise:

  • payment is taken when the backorder is placed
  • the product will be allocated from incoming stock
  • estimated dates are provided in good faith based on the information reasonably available to us

Backorder estimates may change due to circumstances including:

  • transport delays
  • port delays
  • customs clearance
  • carrier disruption
  • supplier delays
  • manufacturing delays
  • unexpected shortages
  • events outside our reasonable control

We will not use this section as a right to delay an order indefinitely.

If we become aware of a material delay to an estimated timeframe, we will aim to contact affected customers with an update.

You may cancel a backorder before dispatch by contacting us at hello@brightvans.com.

If a backorder is cancelled before dispatch, we will refund any amount due in accordance with applicable law.

If an order contains both in stock and backordered items, we may dispatch the available products separately and send the backordered item when it becomes available.

Where we choose to split an order in this way, we will not charge you an additional delivery fee for the additional shipment.

Nothing in this section affects any statutory cancellation or delivery rights available to Consumers.

15. Delivery

We will deliver products to the address provided when the order is placed, unless another arrangement has been agreed.

You are responsible for checking that the delivery address is complete and accurate.

Any dispatch or delivery dates shown are estimates unless we expressly agree that a particular date is guaranteed.

For Consumer orders, where no different delivery period has been agreed, we will deliver within the period required by applicable law.

If we cannot deliver within an agreed timeframe, your rights will depend on the circumstances and applicable law. Nothing in these Terms restricts any statutory right you may have where:

  • delivery is materially delayed
  • an agreed essential delivery date is missed
  • we refuse to deliver
  • delivery does not take place within an applicable additional period

You should contact us promptly if an order appears to be lost or materially delayed.

16. Delivery Instructions and Safe Places

Where you provide delivery instructions, nominate a safe place or authorise delivery to another person or location, the carrier may follow those instructions subject to its own procedures.

You should only nominate a location that you reasonably consider safe and suitable.

Nothing in this section changes the legal rules governing when risk passes to a Consumer.

17. Risk and Ownership

Consumers

For Consumer orders, risk in the goods passes in accordance with applicable law, generally when you or a person identified by you takes physical possession of the goods.

Business Customers

For Business Customers, unless otherwise agreed in writing, risk passes when the goods are delivered to the delivery location or otherwise placed into the possession of the Business Customer or its nominated carrier where applicable.

Ownership

Ownership of goods will not pass to you until we have received full payment for those goods, to the extent permitted by law.

18. Consumer Cancellation Rights for Online Orders

If you are a Consumer purchasing online, you may have a statutory right to cancel most orders without giving a reason.

For qualifying goods, the statutory cancellation period will generally expire 14 days after the day you receive the goods.

Where one order contains multiple goods delivered on different days, the statutory period may run from receipt of the final relevant item in accordance with applicable law.

To exercise a cancellation right, you must clearly tell us that you wish to cancel.

You can do this:

  • through any available return or cancellation process in your account
  • by emailing hello@brightvans.com
  • by another clear statement communicating your decision to cancel

You do not have to use a particular form, although a model cancellation form is available in our Returns, Refunds & Exchanges Policy.

After notifying us of a statutory cancellation, you will normally have a further 14 days to send the goods back.

19. Change of Mind Returns

In addition to statutory rights, BrightVans offers an additional 30 day returns policy for eligible purchases.

The conditions of that additional policy are explained in our Returns, Refunds & Exchanges Policy.

Our voluntary 30 day policy is separate from statutory cancellation rights and may apply different conditions after the statutory cancellation period has ended.

Nothing in our additional policy restricts statutory rights.

20. Return Costs and Delivery Charge Refunds

For qualifying statutory change of mind cancellations:

  • customers may be responsible for the direct cost of returning goods where permitted by law and properly disclosed
  • we will refund outbound standard delivery charges where required by law
  • where a more expensive delivery option was selected, we are not normally required to refund the additional amount above the basic standard delivery option
  • we may reduce a refund where permitted by law to reflect diminished value caused by handling beyond what is reasonably necessary to establish the nature, characteristics and functioning of the goods

Different rules apply to faulty, damaged, incorrect or misdescribed goods.

21. Exceptions to Change of Mind Cancellation Rights

Statutory change of mind cancellation rights do not apply in every circumstance.

For example, an exception may apply to goods that are:

  • made to your specifications
  • clearly personalised

Other statutory exceptions may apply depending on the nature of the goods or transaction.

Where a relevant exception applies to a BrightVans product, we will aim to make this clear before purchase.

Selecting from standard product options does not automatically make a product personalised or made to individual specification.

Exceptions to change of mind cancellation rights do not remove rights relating to faulty, unsafe, incorrect or misdescribed goods.

22. Faulty, Damaged, Incorrect or Misdescribed Goods

We are required to supply goods that comply with applicable legal requirements.

If you are a Consumer, your legal rights in relation to faulty, damaged, incorrect or misdescribed goods are separate from our voluntary 30 day returns policy and are not limited to 30 days.

Depending on the circumstances and applicable law, remedies may include:

  • refund
  • repair
  • replacement
  • price reduction
  • another appropriate remedy

If you believe a product is faulty, damaged, incorrect or not as described, please contact:

Please provide your order number and a description of the issue.

We may reasonably ask for:

  • photographs
  • videos
  • installation information
  • wiring information
  • voltage measurements
  • details of connected equipment
  • other information relevant to diagnosing or assessing the issue

This can be particularly useful for electrical products.

A reasonable request for diagnostic information does not remove or restrict your statutory rights.

Where a return is required because goods are faulty, damaged, incorrect or misdescribed, we will cover reasonable return costs where required by law.

23. Electrical Products, Installation and Safe Use

Many BrightVans products are electrical products intended for use in campervans, motorhomes, caravans, van conversions or related applications.

Products must be:

  • installed in accordance with the product information and instructions provided
  • used only within their stated voltage and electrical limits
  • connected with correct polarity where applicable
  • used within stated maximum loads
  • appropriately fused where required
  • installed using wiring and components suitable for the application
  • used only in environments appropriate to the product’s stated rating and intended use

You must not assume that every product is suitable for every vehicle, electrical system, battery system, dimmer, controller, charger or installation environment.

Where installation requires electrical knowledge or you are unsure about the work, we recommend using a suitably competent person.

Before carrying out electrical installation work, appropriate steps should be taken to isolate the relevant power source and make the system safe.

You should not exceed:

  • product voltage ratings
  • controller maximum loads
  • current ratings
  • stated environmental limitations
  • other specifications provided with the product

Nothing in this section excludes or restricts our responsibility for a faulty, unsafe, misdescribed or otherwise non-conforming product.

24. Compatibility

You are responsible for checking that a product is suitable for your intended application, except where:

  • we have expressly confirmed compatibility based on accurate and complete information provided by you, or
  • applicable law provides otherwise

Compatibility may depend on factors including:

  • vehicle electrical architecture
  • supply voltage
  • battery charging voltage
  • dimmer type
  • controller type
  • existing wiring
  • polarity
  • power supply capacity
  • total connected load
  • product quantity
  • installation environment

Where you ask us to assess compatibility, you should provide complete and accurate information.

We are not responsible for an incorrect compatibility conclusion caused solely by materially incomplete or inaccurate information supplied to us, except where applicable law provides otherwise.

25. Modifications and Alterations

Products should not be modified except:

  • where the product is designed to be modified in that way
  • where our instructions permit it
  • where we have expressly approved the modification

Examples of modifications may include:

  • cutting products outside designated cutting points
  • altering internal wiring
  • bypassing protective components
  • dismantling sealed products
  • exceeding maximum load ratings
  • using products outside stated voltage ranges

Unauthorised modification may affect the operation, safety and any voluntary commercial warranty applying to the product.

However, nothing in this section removes statutory rights in relation to defects or issues that were not caused by the modification or misuse.

26. Commercial Warranties

Some products may be supplied with a separate voluntary or commercial warranty.

Where a commercial warranty applies:

  • its duration and terms may be stated on the product page, packaging or separate warranty documentation
  • it is additional to statutory rights
  • it does not replace statutory rights

A commercial warranty may contain reasonable exclusions for matters such as:

  • accidental damage
  • misuse
  • unauthorised modification
  • use outside stated specifications
  • normal wear and tear

Any such exclusion will not remove rights that cannot lawfully be excluded.

27. Promotions and Discount Codes

Promotions and discount codes may be subject to additional conditions.

Unless stated otherwise:

  • discount codes have no cash value
  • codes cannot be retrospectively applied to completed orders
  • codes may be restricted to particular products, customers or periods
  • more than one discount may not be combined where our checkout does not permit it
  • promotions may be withdrawn or changed for future orders

We may reject the use of a discount code where it:

  • has expired
  • is used outside its stated terms
  • has been obtained or distributed through fraud or misuse
  • is affected by an obvious technical error

Nothing in this section allows us to remove a valid discount from an order after a binding contract has been formed unless permitted by law or agreed with you.

28. Business and Trade Customers

If you are purchasing wholly or mainly for business purposes, statutory Consumer cancellation rights do not apply to your order.

Business Customers may be subject to:

  • separate trade pricing
  • B2B catalogues
  • account specific discounts
  • credit terms
  • minimum order quantities
  • separate written trade terms

Where separate trade or business terms have been agreed, those terms take priority over these Terms to the extent of any inconsistency.

A Business Customer confirms that:

  • it has authority to place the order
  • products will be used, installed or resold in accordance with applicable laws
  • it will not remove or obscure legally required product markings or safety information
  • where products are resold, it is responsible for complying with obligations that legally apply to it in its role in the supply chain

Unless expressly agreed otherwise, prices or discounts offered to a Business Customer are confidential commercial arrangements between us and that customer.

29. Intellectual Property

The content of our website is owned by or licensed to Bright Vans Ltd unless otherwise stated.

This may include:

  • text
  • photographs
  • graphics
  • logos
  • branding
  • product names
  • videos
  • illustrations
  • page designs
  • technical content
  • downloadable materials

You may view and use the website for lawful personal or internal business purposes.

You must not, without permission:

  • reproduce substantial parts of the website
  • copy our product photography for commercial use
  • use our branding in a misleading way
  • represent yourself as affiliated with BrightVans
  • reproduce or distribute protected content for commercial exploitation

Nothing in these Terms transfers ownership of our intellectual property to you.

30. Reviews, Comments and User Content

You may be able to submit:

  • product reviews
  • comments
  • photographs
  • videos
  • questions
  • feedback
  • other content

You remain responsible for content you submit.

You must not knowingly submit content that:

  • is unlawful
  • is defamatory
  • infringes another person’s rights
  • contains malicious code
  • is deliberately false or misleading
  • impersonates another person

Where you intentionally submit content for public display, such as a product review or customer photograph intended for publication, you grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce and display that content for purposes connected with operating and promoting BrightVans and our products.

This licence does not transfer ownership of your content to us.

Content provided privately for:

  • customer support
  • fault diagnosis
  • returns
  • warranty assessment
  • complaints

will not automatically be treated as content submitted for public marketing use merely because you sent it to us.

We may moderate or remove public content where we reasonably believe it is unlawful, fraudulent, abusive, irrelevant or infringes another person’s rights.

We will not remove or suppress a genuine negative review merely because it is negative.

31. Third Party Services and Links

Our website may use or link to third party services, including:

  • payment providers
  • delivery providers
  • review platforms
  • social media services
  • mapping tools
  • analytics services
  • other websites

Third party services may be governed by their own terms and privacy policies.

We are not responsible for the content of third party websites that we do not control.

The inclusion of a link does not necessarily mean that we endorse every statement, product or service available through the linked website.

Nothing in this section excludes responsibility that applicable law places on us.

Our handling of personal information is governed by our Privacy Policy.

Our use of cookies and similar technologies is explained in our Cookie Policy and through any applicable cookie controls made available on the website.

These Terms do not replace those policies or any consent mechanism required by applicable law.

33. Website Availability

We aim to keep our website available and operating correctly but do not guarantee uninterrupted availability.

We may temporarily suspend access for reasons including:

  • maintenance
  • security
  • technical faults
  • system upgrades
  • circumstances outside our reasonable control

We will take reasonable steps appropriate to the circumstances to restore service.

Temporary website unavailability does not affect contracts already formed or statutory rights relating to existing orders.

34. Our Right to Refuse or Restrict Service

We may refuse, restrict or suspend use of our website or decline an order where we reasonably believe this is necessary because of:

  • fraud
  • attempted fraud
  • unauthorised payment activity
  • abuse or harassment
  • unlawful conduct
  • material breach of these Terms
  • cybersecurity risk
  • attempts to circumvent purchasing restrictions
  • legal or regulatory requirements
  • inability to supply or deliver the product

We will not rely on this section to unlawfully discriminate or to arbitrarily cancel a binding consumer contract.

35. Liability to Consumers

This section applies where you are a Consumer.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

In particular, nothing excludes or limits liability for:

  • death or personal injury caused by negligence
  • fraud or fraudulent misrepresentation
  • liability for defective products where it cannot lawfully be excluded
  • breach of statutory rights that cannot lawfully be excluded or restricted
  • any other liability that cannot lawfully be excluded

If we breach these Terms or fail to use reasonable care and skill where required, we are responsible for loss or damage that is a foreseeable result of that breach or failure.

Loss or damage is foreseeable where:

  • it was obvious that it would happen, or
  • both you and we knew it might happen when the contract was formed

We are not responsible for loss or damage that is not a foreseeable result of our breach.

If you are a Consumer, we supply products for private use unless otherwise agreed. We are not responsible under a Consumer contract for business losses such as:

  • loss of profit
  • loss of revenue
  • loss of business
  • business interruption
  • loss of business opportunity

Nothing in this section affects your statutory rights.

36. Liability to Business Customers

This section applies where you are a Business Customer and no separate written trade terms have been agreed.

Nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by negligence
  • fraud or fraudulent misrepresentation
  • any liability that cannot lawfully be excluded or limited

Subject to the above and to applicable law, we will not be liable to a Business Customer for:

  • loss of profit
  • loss of revenue
  • loss of anticipated savings
  • loss of business opportunity
  • loss of goodwill
  • indirect or consequential loss

We are not responsible for losses caused by:

  • installation contrary to our instructions
  • use outside stated product specifications
  • unauthorised modifications
  • incorrect system design by the Business Customer
  • inaccurate or incomplete technical information supplied to us
  • misuse of the product

except to the extent that the loss was caused by our own breach, negligence, a defective product, misleading information for which we are responsible, or another matter for which liability cannot lawfully be excluded.

Any separate liability limits expressly agreed in written trade terms will apply according to those terms and applicable law.

37. Events Outside Our Reasonable Control

We are not responsible for delay or failure caused by events outside our reasonable control where and to the extent permitted by law.

Examples may include:

  • severe weather
  • transport disruption
  • port disruption
  • customs delays
  • strikes not limited to our own workforce
  • war
  • terrorism
  • civil unrest
  • epidemic or pandemic restrictions
  • major telecommunications failure
  • major power failure
  • natural disaster
  • government action
  • supplier failure caused by an event outside our reasonable control

Where such an event affects an order, we will take reasonable steps appropriate to the circumstances.

For Consumer orders, nothing in this section removes statutory rights relating to delayed or failed delivery.

38. Complaints

We want to resolve complaints fairly and directly wherever possible.

If you have a complaint, please contact:

Please provide:

  • your name
  • your order number where relevant
  • a clear description of the issue
  • the outcome you are seeking

We will review the complaint and aim to respond within a reasonable period.

Where applicable law requires us to provide information about an appropriate alternative dispute resolution provider following an unresolved Consumer complaint, we will provide that information.

Unless we expressly state otherwise or are legally required to participate, these Terms do not commit us in advance to a particular alternative dispute resolution procedure.

Nothing in this section affects your right to bring legal proceedings where applicable.

39. Governing Law and Jurisdiction

These Terms are governed by English law.

If you are a Consumer, you may also benefit from mandatory protections under the law applicable to you that cannot lawfully be excluded.

Nothing in these Terms deprives a Consumer of mandatory legal protections that apply to their purchase.

If you are a Consumer resident in the United Kingdom, you may bring proceedings in a court that has jurisdiction under applicable law, which may include the courts of the part of the United Kingdom where you live.

If you are a Business Customer, the courts of England and Wales will have exclusive jurisdiction, unless we expressly agree otherwise in writing.

These Terms, together with any policies or additional terms incorporated into the contract, set out the agreement between you and us concerning the relevant website use or order.

For Business Customers, any separate written trade terms or individually negotiated agreement may take priority where expressly agreed.

Nothing in this section excludes liability for fraud or fraudulent misrepresentation.

Nothing in this section removes any Consumer right arising from information, statements or representations that applicable law treats as binding.
